These Terms and Conditions (“Terms”) govern your access to and use of the website www.balajilabels.com and all transactions with Balaji Enterprise. By accessing the website, submitting an enquiry, placing an order, or engaging in any transaction, you agree to be bound by these Terms.

  1. Acceptance of Terms

By accessing, browsing, or using the website www.balajilabels.com (hereinafter “Website”), submitting any enquiry, placing any order, or engaging in any transaction with Balaji Enterprise (hereinafter “the Company”, “We”, “Us”, or “Our”), you (hereinafter “User”, “Client”, or “You”) agree to be bound by these Terms and Conditions (“Terms”).

If you do not agree to these Terms, please discontinue use of this Website and do not engage in any transaction with Balaji Enterprise.

These Terms constitute a binding legal agreement under the Indian Contract Act, 1872.

Balaji Enterprise is a proprietorship firm engaged in the manufacture, supply, and export of holographic security labels, tamper-evident tapes, anti-counterfeit stickers, VOID labels, blister foils, QR authentication labels, and related security packaging products.

3.1 Product Range

Balaji Enterprise manufactures and supplies, including but not limited to:

  • 2D and 3D hologram stickers, strips, and tapes
  • Tamper-evident labels and VOID security seals
  • Holographic pouches, shrink sleeves, and films
  • QR code-enabled authentication labels
  • Pharmaceutical and FMCG security holograms
  • Laser-numbered and scratch holograms
  • Custom-designed security labels and barcode labels

3.2 Customisation

All products are manufactured to client specifications. Custom orders are accepted subject to minimum order quantities (MOQ), artwork approval, and advance payment as communicated by our sales team.

3.3 Samples

Sample requests are entertained at the sole discretion of Balaji Enterprise. Sample dispatch is subject to standard charges unless waived by a written agreement. Samples provided do not constitute a binding commitment to supply.

  1. Orders and Contracts

4.1 Enquiries and Quotations

Submission of an enquiry form on this Website does not constitute a binding order. A formal quotation issued by Balaji Enterprise constitutes an offer. An order is confirmed only upon written acceptance by both parties and receipt of applicable advance payment.

4.2 Order Cancellation

Once a custom order enters production, cancellation will not be accepted. For non-custom stock products, cancellations must be requested in writing within 24 hours of order placement. Cancellations after production commencement are not eligible for refund.

4.3 Minimum Order Quantities

Minimum order quantities vary by product type and will be communicated at the time of quotation. Balaji Enterprise reserves the right to decline orders below the applicable MOQ.

  1. Pricing and Payment

5.1 Pricing

All prices quoted are exclusive of Goods and Services Tax (GST), packaging charges, and freight unless expressly stated otherwise. Prices are subject to change without prior notice until a confirmed purchase order is accepted in writing.

5.2 Payment Terms

Standard payment terms are:

  • Custom orders: 50% advance at order confirmation, balance before dispatch
  • Repeat orders from established clients: As mutually agreed in writing
  • Export orders: 100% advance via wire transfer or as per Letter of Credit

Balaji Enterprise reserves the right to modify payment terms at its discretion.

5.3 GST Compliance

All applicable taxes including GST will be charged as per prevailing Indian tax laws. Tax invoices will be issued in accordance with GST regulations. Any tax-related claims or disputes must be raised within 30 days of invoice date.

5.4 Late Payments

Payments overdue beyond the agreed credit period will attract interest at the rate of 18% per annum or the maximum rate permissible under applicable law, whichever is lower.

  1. Delivery and Dispatch

6.1 Lead Times

Standard dispatch timelines for custom products range from 7 to 21 working days from artwork approval and advance receipt, depending on order volume and complexity. Stock items may be dispatched within 3–5 working days.

6.2 Risk and Title

Title to goods passes to the Client upon full payment. Risk passes to the Client upon handover to the courier/logistics partner at our dispatch point in Ahmedabad.

6.3 Delivery Damages

Any damage during transit must be reported within 48 hours of delivery with photographic evidence. Claims raised after 48 hours will not be entertained.

  1. Quality and Returns

7.1 Quality Assurance

Balaji Enterprise maintains quality control standards at every stage of manufacturing. Products are inspected before dispatch. Minor variations in colour, finish, or dimensions within standard industry tolerances do not constitute defects.

7.2 Returns and Replacement

Returns are accepted only for manufacturing defects reported in writing within 7 days of delivery, supported by photographic evidence. Defective goods will be replaced or credited at the Company’s discretion. Returns will not be accepted for:

  • Products that have been used, applied, or tampered with
  • Colour or finish variations within standard industry tolerances
  • Delays in reporting beyond 7 days
  • Custom products manufactured per buyer-approved artwork
  1. Intellectual Property

8.1 Company IP

All content on this Website including text, images, product designs, logo, branding, technical specifications, and marketing materials are the exclusive intellectual property of Balaji Enterprise. Reproduction, copying, distribution, or commercial use of any content without prior written consent is strictly prohibited.

8.2 Client Artwork

Any artwork, logo, or design submitted by the Client for customisation remains the intellectual property of the Client. The Client warrants that such artwork does not infringe third-party intellectual property rights. Balaji Enterprise shall not be liable for any IP infringement arising from Client-submitted designs.

8.3 Hologram Security Technology

The holographic patterns, optical effects, and security features embedded in our products are proprietary technologies. Any reverse engineering, replication, or unauthorised copying of our security features is illegal and will be prosecuted under applicable Indian law.

  1. Confidentiality

Both parties agree to maintain confidentiality of all proprietary, technical, commercial, and business information shared during the course of the business relationship. This obligation survives termination of the business relationship for a period of 3 years.

  1. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

  • Balaji Enterprise’s total liability for any claim arising from a transaction shall not exceed the value of the specific order to which the claim relates.
  • We shall not be liable for indirect, consequential, incidental, special, or punitive damages including but not limited to loss of profits, loss of business, or reputational damage.
  • We shall not be liable for delays or failures in performance resulting from force majeure events including natural disasters, pandemics, government actions, strikes, or supply chain disruptions.

Nothing in these Terms limits liability for death, personal injury caused by our negligence, or fraud.

  1. Disclaimer of Warranties

This Website and its content are provided on an “as is” basis. Balaji Enterprise makes no warranties, express or implied, regarding:

  • Uninterrupted or error-free operation of the Website
  • Accuracy or completeness of information on the Website
  • Fitness of products for any particular purpose beyond their stated specifications

Product specifications on the Website are indicative. Final specifications are confirmed in formal quotations.

12.1 Permitted Use

This Website is intended for lawful B2B commercial enquiries only. You agree not to:

  • Use the Website for any unlawful, fraudulent, or harmful purpose
  • Attempt to gain unauthorised access to any system or database
  • Upload malicious code, spam, or misleading content

  • Impersonate Balaji Enterprise or its representatives

12.2 Availability

We do not guarantee uninterrupted availability of this Website and shall not be liable for any loss resulting from downtime, maintenance, or technical errors.

  1. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms and all disputes arising from or in connection with them shall be governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, the Sale of Goods Act, 1930, the Consumer Protection Act, 2019, and the Information Technology Act, 2000.

14.2 Jurisdiction

The courts at Ahmedabad, Gujarat, India shall have exclusive jurisdiction over any disputes arising from these Terms or any transaction with Balaji Enterprise, subject to clause 14.3 below.

14.3 Dispute Resolution

In the event of a dispute, both parties shall first attempt to resolve the matter through good-faith negotiation within 30 days of written notice. If unresolved, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Ahmedabad, Gujarat. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties.

  1. Indemnification

You agree to indemnify, defend, and hold harmless Balaji Enterprise, its proprietor, employees, agents, and representatives from and against any claims, losses, damages, penalties, or legal expenses arising from:

  • Your violation of these Terms
  • Your infringement of third-party intellectual property rights
  • Any misuse of our products or services
  • Inaccurate information provided by you in connection with any order
  1. Modifications to Terms

Balaji Enterprise reserves the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms on this Website with a revised effective date. Continued use of the Website or engagement in transactions after changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

  1. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severed from the remaining Terms, which shall continue in full force and effect.

  1. Entire Agreement

These Terms, together with our Privacy Policy and any specific order confirmation or agreement issued by Balaji Enterprise, constitute the entire agreement between the parties with respect to the subject matter and supersede all prior oral or written communications.
